Established in 1963 Industrial Oxygen Company Limited started it’s operations in Pune, Maharashtra The Company augmented and capitalized upon the rapid industrialization taking place in the country. In 1999, the company formed a Joint Venture with Air Products & Chemicals Inc. USA, giving birth to INOX Air Products. The venture remains till date, one of the longest Indo-American partnerships in the manufacturing sector.

Notice to General Meetings

Section 96 of the Companies Act, 2013 provides for the issuance of notice before the conduct of general meetings to each shareholder of the Company. Such notice needs to be circulated hand delivery/ email / ordinary post/ speed post / registered post / courier / fax. Section 96 also provides for the publication of such notice over the website of the company.

Unclaimed Dividend

Rule 5 (8) of the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer, and Refund) Rules, 2016, mandates publication of prescribed details of the unclaimed amount of dividend lying with the Company under section 125(2) for seven years to be provided as per the prescribed statements.

Transfer of Shares to IEPF

The Central Government has set up the Investor Education and Protection Fund Authority and in terms of Section 124 of the Companies Act, 2013 read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer, And Refunds) Rules, 2016 and Investor Education and Protection Fund Authority (Accounting, Audit, Transfer, and Refund) Amendment Rules, 2017 and every company has to mandatorily transfer the equity shares in respect of which dividends.

Annual Return

Section 92(4) of the Companies Act, 2013 mandates each company to file with the Registrar of Companies, a copy of its annual return, within sixty days from the date on which the Annual General Meeting is held or where no annual general meeting is held in any year within sixty days from the date on which the annual general meeting should have been held. Section 92 of the Companies Act 2013 also requires the companies to place their annual return on their website.
